EULA - End User License Agreement

END-USER LICENSE AGREEMENT
IMPORTANT-READ CAREFULLY: This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and King Stairs Software for the software product identified above, which includes computer software and may include associated media, printed materials, and online or electronic documentation (SOFTWARE). YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE. IF YOU DO NOT AGREE, YOU ARE NOT AUTHORIZED TO INSTALL, DOWNLOAD OR USE THE SOFTWARE.

GRANT OF LICENSE. King Stairs Software grants you the following rights provided that you comply with all terms and conditions of this EULA:
Installation and use. You may install and use the SOFTWARE on any number of computers residing on your premises.
Reservation of Rights. King Stairs Software reserves all rights not expressly granted to you in this EULA.
No Support: King Stairs Software does not offer any support services in connection with the SOFTWARE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KING STAIRS SOFTWARE PROVIDES TO YOU THE SOFTWARE AS IS AND WITH ALL FAULTS, WITHOUT ANY EXPRESS OR IMPLIED WARRANTY. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KING STAIRS SOFTWARE BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE.

DISTRIBUTION. Permission is granted to freely distribute the SOFTWARE providing the following conditions are met:
The SOFTWARE must be distributed complete and unaltered in the original ZIP archive file or self-extracting archive, with all messages intact.
The origin of the SOFTWARE must not be misrepresented; you must not claim that you wrote the SOFTWARE or have any rights to it.
If you wish to distribute the SOFTWARE with other products (for example on a compilation CD) you will need written permission from King Stairs Software.
You may not charge for distributing the SOFTWARE, excepting a nominal fee to cover your reasonable costs (eg media, postage, bandwidth, etc).
You may not rent, lease, or lend the SOFTWARE.

TITLE. You acknowledge that no title to the intellectual property in the SOFTWARE is transferred to you. Title, ownership, rights, and intellectual property rights in and to the SOFTWARE shall remain with King Stairs Software. The SOFTWARE is protected by copyright and trademark laws of the United States and international treaties.

REVERSE ENGINEERING. You may not reverse engineer, decompile, or disassemble the SOFTWARE, except and only to the extent that it is expressly permitted by applicable law notwithstanding this limitation.

TERMINATION. Without prejudice to any other rights, King Stairs Software may cancel this EULA if you do not abide by the terms and conditions of this EULA, in which case you must destroy all copies of the SOFTWARE and all of its component parts.

EXPORT RESTRICTIONS. You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations.

U.S. GOVERNMENT USERS. The SOFTWARE is a commercial item as that term is defined at 48 C.F.R. 2.101, consisting of commercial computer software and commercial computer software documentation as such terms are used in 48 C.F.R. 12.212. Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4, all U.S. Government end users acquire the SOFTWARE with only those rights set forth therein.

GOVERNING LAW and GENERAL PROVISIONS. This Agreement will be governed by the laws of the State of California, U.S.A., excluding the application of its conflicts of law rules. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. This Agreement may only be modified in writing signed by an authorized officer of King Stairs Software.
